The live casino game provider Evolution Gaming said last month that it had bought out the Australian-based online slot developer Big Time Gaming (BTG) for €450 million.
On April 12, it was reported that the companies had entered into an agreement with one another, that would see the world’s best-known live dealer content creator take over the developer responsible for the Megaways mechanic.
This acquisition will allow Evolution Gaming to take advantage of the brand’s popular titles, including those like Extra Chilli, Bonanza and Danger: High Voltage. At the same time, the Megaways function itself will come under the management of Evolution as part of the takeover.
This is integrated into many of BTG’s own slot releases, and has been licensed out to various other developers to include in their slot games. Big Time Gaming saw its 2020 revenue come in at a total of €33 million, with earnings after tax deduction and depreciation etc. standing at €29 million.
Speaking on the acquisition of BTG, the Chairman of Evolution, Jens von Bahr noted:
“With the addition of Big Time Gaming to our portfolio of slot brands we strengthen our strategic position as the leading provider of digital casino games in the world…”
The up-front consideration that is payable in the transaction by Evolution is €220 million. A cash payment of €80 million must be made as part of that deal, with the remainder being present in newly issued Evolution Gaming shares.
The shares will be issued upon completion of the transaction, and those shares are valued at a price equivalent to the volume weighted average of company shares on the NASDAQ Stockholm exchange from March 23 to April 7, 2021.
It is therefore expected that 1,120,000 shares will be issued. This comes following the Evolution Gaming acquisition of popular developer Netent in 2020 – a deal that went through for a total of $2 billion (€1.66 billion).

During his speech on the acquisition of BTG, von Bahr spoke of the brand’s commitment to creating unique player experiences. This, he said, would fit in well with Evolution’s own ambitions and culture – making the process of working with BTG one that he is looking forward to.
Of course, the news of the successful takeover bid by Evolution was welcomed by the BTG CEO, Nik Robinson, who explained that both his company and Evolution share a similar drive. Innovation and improvement of the overall user experience when it comes to online gaming are the forefront of both companies.
Therefore, he believes that they are a perfect match for one another. “A bright and entertaining future awaits for our players”, he said. As noted, BTG was responsible for the creation of the unique and innovative Megaways mechanic. This allows each spin of a game that features it to have up to 117,649 ways to win, and sometimes many more.
